Statutes of Molecular Diversity Preservation International (MDPI)

I. Name and location of the association

 § 1

Under the name " Molecular Diversity Preservation international (MDPI) " an association located in Basel is founded in the sense of article 60 ff of the Swiss civil code.

 II. Purpose of the association

 § 2

The purpose of MDPI is the world-wide preservation of the molecular diversity, i.e. the preservation of the chemical compounds synthesized in laboratories as well as the preservation of chemical compounds isolated or separated from natural sources, for example from plants or animals sources.

MDPI coordinates all international efforts for the preservation of the molecular diversity by promoting the dialog between the relevant organizations in the area of chemistry, the responsible government agencies as well as academic and industrial institutions.

MDPI establishes one or more centers of archive for chemical compounds, which serve the world-wide systematic collection, deposit and storage of molecular and biomolecular samples.

MDPI establishes a data base for the collection of the chemical compounds.

MDPI provides services for the exchange of samples for all chemists and organizations in the world.

MDPI supports conferences on the topic of the preservation of the molecular variety for chemists and interested scientists of other fields.

MDPI commits ifself together with international partners in working out a draft and final legal binding paper of an international treaty concerning the preservation of the molecular diversity as guideline for the international cooperation.

MDPI publishes a monthly journal for chemists under the name of " MOLECULES ". Authors of " MOLECULES " are encouraged to deposit their molecular and biomolecular samples at an MDPI center. " MOLECULES " serves among other things also as publication organ for the congresses organized by MDPI.

III. Means

§ 3

The financial means of the association consist of:

- membership fee

- contributions of sponsors

- incomes from storing of samples and the contribution of services in connection with the exchange of samples.

IV. Membership

§ 4

The start of membership can take place at any time. The acceptance as member takes place on written request via resolution of the executive committee.

§ 5

Each member can withdraw under adherence to the laws with appropriate written message to the executive committee from the association.

§ 6

A member can be excluded by resolution of the association meeting or the executive committee, if this member (bad-willingly) acts contrary to the statutes or damages the reputation and the interests of the association or its members.

V. Membership fees

§ 7

The annual membership fee is determined by the executive committee.

§ 8

For the liability of the association is responsible exclusively the property of the association.

VI. Organization of the association

§ 9

The organs of the association are:

a) the association meeting

b) the executive committee

c) the revision place

A. association meeting

 § 10

The association meeting is the highest organ of the association and is called up by the executive committee at least once annually. The invitation is effected via written message to all members and must arrive at least 15 days before the association meeting with the members. An extraordinary association meeting is to be called up, if it is decided by the executive committee, if it is in writing justified required by the fifth part of the members or if a statutory association meeting decides this.

§ 11

The following business is entitled to the association meeting:

- modification of the statutes

- selection of the executive committee and the revision place.

- discussion of the requests for the preservation of the molecular diversity.

§ 12

The association resolutions are made with the majority of the voices of the present members with the provisio of different phrased status regulations.

b. Executive committee

§ 13

The executive committee consists of at least two members, that are selected by the association meeting and valid for 5 years. The executive committee runs the association as well as the adoption of resolutions in all affairs of association, which are not expressly transferred from the association meeting or other organs.

The executive committee assembles and determines the persons authorized to sign as well as the type of its signature.

c. revision place

§ 14

The association meeting selects annually one or more examiners for the examination of the accounting. The examiners ask the executive committee to submit to the association meeting a report in writting on the results of their examination with justified request for approval or not approval.

VII. Dissolution of the association

§ 15

The association meeting can decide the dissolution of the association at any time. The liquidation takes place by the executive committee of the association, if the association meeting does not assign different persons. A possible surplus of the property of the association is used in accordance with resolution of the resolving association meeting.

Managing statutes entered into force by day to their acceptance by the founders' meeting and are from today valid statutes of the association.
